The Elevate with Varo Sweepstakes (“Sweepstakes”) is sponsored by. Varo Bank, N.A. ("Sponsor"). This Sweepstakes is Administered by Black Girl Digital, Inc. (“Administrator”). By participating in the Sweepstakes, each Entrant unconditionally accepts and agrees to comply with and abide by the Black Girl Digital Presents Elevate with Varo Official Rules (“the Official Rules”) and the decisions of Sponsor, which shall be final and binding in all respects. Administrator is responsible for the collection, submission or processing of Entries and the overall administration of the Sweepstakes. Entrants should look solely to Administrator with any questions, comments or problems related to the Sweepstakes. Administrator may be reached by email at info@blackgirldigital.com during the Sweepstakes Period.

1.  SWEEPSTAKES PERIOD: The Sweepstakes begins on August 16, 2021 at 12:00am ET and ends on September 12,, 2021 at 11:59pm ET ("Sweepstakes Period") and includes four (4) entry periods (the "Entry Periods") as outlined in the chart defined below:

Non-winning entries will carry forward into subsequent Entry Period drawings. The Administrator’s computer is the Sweepstakes official clock.

2.  ELIGIBILITY: This Sweepstakes is open only to those who enter on Instagram and Twitter using the Sweepstakes hashtag #ElevatewithVaro and are legal residents of the United States who are 18 years old (the "Entrant"). Sponsor, and their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies and each of their respective officers, directors and employees (the "Promotion Entities"), are ineligible to enter the Sweepstakes or win a prize. Household Members and Immediate Family Members of such individuals are also not eligible to enter or win. "Household Members" shall mean those people who share the same residence at least three months a year. "Immediate Family Members" shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses. This Sweepstakes is subject to all applicable federal, state and local laws and regulations and is void where prohibited or restricted by law.
 

Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions and interpretations, which are final and binding in all matters related to the Sweepstakes.

3. PRIZES: Grand Prize: 32 winners will receive one (1) $500 Virtual Gift Card or Varo Bank $500 Deposit) (approximate retail value or "ARV": $500 each). The total ARV of all of the prizes awarded in this Sweepstakes is: $16,000.00. 

 

Only one prize per household will be awarded. Gift cards and gift certificates are subject to the terms and conditions of the issuer. Prizes cannot be transferred, redeemed for cash or substituted by winner. Sponsor reserves the right in its sole and absolute discretion to award a substitute prize of equal or greater value if a prize described in these Official Rules is unavailable or cannot be awarded, in whole or in part, for any reason. The ARV of the prize represents Sponsor's good faith determination. That determination is final and binding and cannot be appealed. If the actual value of the prize turns out to be less than the stated ARV, the difference will not be awarded in cash. Sponsor makes no representation or warranty concerning the appearance, safety or performance of any prize awarded. Restrictions, conditions, and limitations may apply. Sponsor will not replace any lost or stolen prize items.
   
This Sweepstakes is open to legal residents of the United States and Prize will only be awarded and/or delivered via email. All federal, state and/or local taxes, fees, and surcharges are the sole responsibility of the prize winner. Failure to comply with the Official Rules will result in forfeiture of the prize.

 

4. HOW TO ENTER: During the Sweepstakes Period, an eligible entrant must follow the steps below to receive one (1) Sweepstakes entry (“Entry”):

The Entry must fulfill all Sweepstakes requirements, as specified, to be eligible to win a prize. Entries that are incomplete or do not adhere to the Official Rules or specifications may be disqualified at the sole discretion of the Sponsor.

Automated or robotic Entries submitted by individuals or organizations will be disqualified. Any attempt by Entrant to obtain more than the stated number of Entries by using multiple/different email addresses, identities, registrations, logins or any other methods, including, but not limited to, commercial contest/Sweepstakes subscription notification and/or entering services, will void Entrant's Entries and that Entrant may be disqualified. Final eligibility for the award of any prize is subject to eligibility verification as set forth below. All Entries must be posted by the end of the Sweepstakes Period in order to participate. Sponsor's database clock will be the official timekeeper for this Sweepstakes. You are allowed (1) one entry on Instagram and (1) one entry on Twitter during the defined Entry Period. You may not enter more times than indicated by using multiple email addresses, identities, or devices in an attempt to circumvent the rules. If you use fraudulent methods or otherwise attempt to circumvent the rules, your submission may be removed from eligibility at the sole discretion of Sponsor.

 

NOTE: Sponsor may not receive entries from Entrants with “private” account settings (i.e., user has set their Instagram Account and/or Twitter Account (as applicable) so that only people the user has approved can view their photos) due to the way Instagram and/or Twitter operate their service.  Sponsor, at its sole discretion, may accept a technically incorrect entry.  Messages not received by Sponsor will not be entered into the Sweepstakes.  Any entry containing inappropriate content, as determined by Sponsor, in its sole and absolute discretion, will be considered ineligible and will not be part of the Sweepstakes.

5. WINNER SELECTION: The Winner(s) of the Sweepstakes will be selected in a random drawing from among all eligible Entries received throughout the Entry Period. Random drawings will be conducted as described above by the Sponsor or its designated representatives, whose decisions are final. Odds of winning will vary depending on the number of eligible Entries received during Entry Period. All eligible, non-winning entries will be rolled over to subsequent Entry Periods until all drawings are completed.


6. WINNER NOTIFICATION: Winner will be notified by social media Direct Message (DM) and/or email at the email address provided on social platform approximately one (1) day after the random drawing. Potential Winner must accept a prize by email as directed by Sponsor within two (2) days of notification.

 

Sponsor is not responsible for any delay or failure to receive notification for any reason, including inactive email account(s), technical difficulties associated therewith, or Winner’s failure to adequately monitor any email account and social DM.

Any winner notification not responded to or returned as undeliverable may result in prize forfeiture. The potential prize winner may be required to sign and return an affidavit of eligibility and release of liability, and a Publicity Release (collectively "the Prize Claim Documents") and return the Prize Claim Documents within the seven (7) day time period specified at notification before being eligible to receive the prize.  If any potential prize winner fails or refuses to sign and return such Prize Claim Documents within the seven (7) day time period required by Sponsor or if the prize or prize notification is returned as rejected, faulty, unclaimed or returned as undeliverable to such potential prize winner, such potential prize winner may be disqualified, and an alternate may be selected. 

No substitution or transfer of a prize is permitted except by Sponsor. Acceptance of prize constitutes permission for Sponsor to use Winner’s name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law.

7. PRIVACY: Any personal information supplied by you will be subject to the privacy policy of the Administrator posted HERE.  By entering the Sweepstakes, you grant the Sponsor permission to share your email address and any other personally identifiable information with the other Sweepstakes Entities for the purpose of administration and prize fulfillment, including use in a publicly available Winner List.

 

8. RIGHTS GRANTED BY YOU: By entering this Sweepstakes (e.g., photo, video, text, etc.), you understand and agree that the Sponsor, anyone acting on behalf of the Sponsor, and Sponsor’s licensees, successors, and assigns, shall have the right, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the World, without limitation, your entry, name, portrait, picture, voice, likeness, image, statements about the Sweepstakes, and biographical information for news, publicity, information, trade, advertising, public relations, and promotional purposes. without any further compensation, notice, review, or consent. 

 

In addition, as a condition of entering the Sweepstakes, each Entrant gives consent for Sponsor to obtain  and deliver Entrant’s name, email address, mailing address, and other information to third parties  for the purpose of administering this Sweepstakes and to comply with applicable laws,  regulations,  and rules. Any information Entrant provides to Sponsor may be used to communicate with Entrant in relation to this Sweepstakes or on a Sweepstakes winner’s list.

9. TERMS & CONDITIONS: The Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Sweepstakes should virus, bug, non-authorized human intervention, fraud, or other cause beyond the Sponsor’s control corrupt or affect the administration, security, fairness, or proper conduct of the Sweepstakes. In such case, Sponsor may select the Winner from all eligible entries received prior to and/or after (if appropriate) the action taken by the Sponsor. Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Sweepstakes or website or violates these Official Rules. Sponsor has the right, in its sole discretion, to maintain the integrity of the Sweepstakes, to void votes for any reason, including, but not limited to: multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by Sweepstakes rules; or the use of bots, macros, scripts, or other technical means for entering. Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws. Should such attempt be made, Sponsor reserves the right to seek damages to the fullest extent permitted by law.

 

The invalidity or unenforceability of any provision of these Official Rules or the Affidavit will not  affect the validity or enforceability of any other provision. In the event that any provision of these  Official Rules or the Affidavit is determined to be invalid or otherwise unenforceable or illegal, the  other provisions will remain in effect and will be construed in accordance with their terms as if the  invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of  these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any  rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference  and will not be deemed to affect in any manner the meaning or intent of the documents or any  provision hereof. In the event there is a discrepancy or inconsistency between disclosures or  other statements contained in any Sweepstakes-related materials, privacy policy, or terms of use  on any website, social media platform, or application and/or the terms and conditions of these  Official Rules, these Official Rules shall prevail, govern, and control and the discrepancy will be  resolved in Sponsor’s sole and absolute discretion.

 

10. LIMITATION OF LIABILITY: By entering, You agree to release and hold harmless Sponsor and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such entrant’s participation in the Sweepstakes and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error in the administration of the Promotion or the processing of entries.

 

11. DISPUTES: THIS SWEEPSTAKES IS GOVERNED BY THE LAWS OF UNITED STATES AND NEW YORK, NY, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Sweepstakes, participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively through binding arbitration; provided,  however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in New York, NY and any other court with jurisdiction over the parties. In arbitration,  there is no judge or jury and review is limited. The arbitrator’s decision and award are final and  binding, with limited exceptions, and judgment on the award may be entered in any court with  jurisdiction. The parties agree that, except as set forth above, any claim, suit, action, or  proceeding arising out of or relating to this Sweepstakes shall be resolved solely by binding  arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS  Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing  date within fourteen (14) days of the filing of a “Demand for Arbitration,” then either party can elect  to have the arbitration administered by the American Arbitration Association (“AAA”) or any other  mutually agreeable arbitration administration service. If an in-person hearing is required, then it  will take place in New York, NY. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and  will not be consolidated with any other proceedings that involve any claims or controversy of  another party, including any class actions; provided, however, if for any reason any court or  arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to  arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in New York, NY. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct  the arbitration (but specifically excluding any travel or other costs of Entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in  small claims court. Further, in any such dispute, under no circumstances shall participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than participant’s actual out-of-pocket expenses (i.e. costs associated with entering this Sweepstakes). Participant further waives all rights to have damages multiplied or increased.
